Terms of Service

1. Acceptance of Terms

By accessing or using Issue-Monkey (issue-monkey.org), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the service. By creating an account, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement.

2. Description of Service

Issue-Monkey is a software-as-a-service (SaaS) platform designed for homeowners associations (HOAs) to track, manage, and resolve community issues. Features include issue reporting with photos and location mapping, property and contact management, AI-assisted violation notice drafting, and board member collaboration tools.

3. Account Registration and Responsibility

To use Issue-Monkey, you must create an account using a valid email address or a supported OAuth provider (such as Google). You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Providing accurate and current information during registration
Notifying us promptly if you suspect unauthorized use of your account

HOA administrators are responsible for managing user access within their community, including inviting and removing members.

4. Subscription and Billing

Issue-Monkey offers paid subscription plans billed on a recurring basis. All payment processing is handled securely by Stripe.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
Cancellation: You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the service until the end of your current billing period. No partial refunds are provided for unused time within a billing cycle.
Price Changes: We may change subscription pricing with at least 30 days notice. Continued use of the service after a price change constitutes acceptance of the new price.

5. Free Trial

New HOA communities receive a free trial period of 90 days with a limit of 100 issues. During the trial, all features are available. When the trial expires or the issue limit is reached, you must subscribe to a paid plan to continue using the service. Data created during the trial is preserved when you subscribe.

6. Data Ownership

All data entered into Issue-Monkey by your HOA community (including issues, photos, property records, contact information, and documents) belongs to your HOA, not to Issue-Monkey. We do not claim any ownership rights over your content.

You grant Issue-Monkey a limited license to store, process, and display your data solely for the purpose of providing the service. Upon account deletion, your data will be removed in accordance with our Privacy Policy and the data retention schedule described in Section 9.

7. Acceptable Use

You agree not to use Issue-Monkey to:

Upload, store, or transmit any content that is illegal, threatening, defamatory, or otherwise objectionable
Harass, abuse, or intimidate other users
Send unsolicited bulk communications (spam) through the platform
Attempt to gain unauthorized access to other accounts or systems
Interfere with or disrupt the service or its underlying infrastructure
Use the platform for any purpose other than HOA community management
Upload malicious files, viruses, or harmful code

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. AI Features Disclaimer

Issue-Monkey offers AI-assisted features, including the generation of draft violation notices. These AI-generated outputs are provided as drafts only and do not constitute legal advice, legal documents, or official HOA correspondence until reviewed and approved by an authorized representative of your HOA.

You are solely responsible for reviewing, editing, and approving any AI-generated content before use. Issue-Monkey makes no warranties regarding the accuracy, completeness, or legal sufficiency of AI-generated content. We strongly recommend consulting with qualified legal counsel for matters requiring legal expertise.

9. Data Retention and Deletion

Issue-Monkey retains your data according to the following lifecycle:

Active accounts (paid or trial): Data is retained for as long as the account is active.
Expired trials (no subscription): After the 90-day trial expires without subscribing, your data remains accessible in a read-only state for an additional 90 days.
Archived data: After the 90-day grace period, your data is archived. Archived data is retained for 1 year.
Permanent deletion: After the 1-year archival period, all data is permanently purged and cannot be recovered.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Issue-Monkey and its owner, operators, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising from your use of or inability to use the service.

Issue-Monkey's total liability for any claim arising from these terms or your use of the service shall not exceed the amount you paid to Issue-Monkey in the twelve (12) months preceding the claim.

The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. We may terminate or suspend your access to the service immediately, without prior notice, if you breach these Terms of Service.

Upon termination, your right to use the service ceases immediately. Data retention after termination follows the schedule described in Section 9.

12. Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify you by email or by posting a prominent notice within the service at least 30 days before the changes take effect. Your continued use of the service after the effective date of any changes constitutes your acceptance of the revised terms.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Minnesota, United States of America, without regard to its conflict of law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota.
